BayWa AG Agrees to Sell Cefetra for EUR 125 Million
BayWa AG, through its subsidiary BayWa Agrar Beteiligungs GmbH, has signed an agreement with a group of investors to sell all shares in the Cefetra Group B.V. for approximately EUR 125 million. Initial payment of EUR 80 million will occur upon closing, with the remaining EUR 45 million payable by April 30, 2026, or within 90 days thereafter. An expedited payment option could reduce this by up to EUR 5 million.
Additionally, BayWa AG will gain around EUR 62 million through the repayment of shareholder loans, aiding its debt reduction efforts. Cefetra's refinancing, worth EUR 600 million, is contingent upon meeting certain equity targets, which BayWa will support with a EUR 12 million contribution.
The transaction awaits Italian regulatory clearance and BayWa's supervisory board approval. Completion is expected in Q1 2026.
