BayWa AG Finalizes Key Restructuring Agreements and Sells RWA AG Stake
BayWa AG has successfully negotiated a transformative agreement involving its primary financial partners and significant shareholders, Bayerische Raiffeisen-Beteiligungs-AG and Raiffeisen Agrar Invest AG. This agreement outlines a long-term restructuring strategy set to extend until 2027. As part of this strategy, the company plans a €150 million cash capital increase, supported by the major shareholders. Detailed arrangements are anticipated by Q1 2025.
The restructuring agreement, alongside necessary financing agreements, is expected to be finalized and enacted by the end of April 2025. Additionally, BayWa AG has secured an extension of existing standstill agreements to ensure financial stability through this transition.
In a strategic move to realign its portfolio, BayWa AG and its subsidiaries have agreed to sell their 47.53% share in RWA Raiffeisen Ware Austria AG to an affiliated company of RWA Raiffeisen Ware Austria Handel und Vermögensverwaltung eGen. The transaction, valued at €176 million, is contingent on a fairness opinion and antitrust approval, with completion anticipated by the end of Q1 2025.
