Capgemini Launches Thirteenth Employee Share Ownership Plan
Paris, September 10, 2026 – Capgemini has unveiled its thirteenth Employee Share Ownership Plan (ESOP), targeting about 97% of its workforce. This initiative aims to maintain employee shareholding at around 8% of the company's capital, involving a capital increase capped at 3 million shares, or 1.77% of outstanding shares. As the 2021 plan concludes, this new program seeks to continue employee engagement in the company's success.
The Board of Directors authorized a share buyback program distinct from the existing €2 billion initiative to mitigate potential dilution. The subscription period opens from September 11 to 30, 2026, followed by a subscription/revocation window from November 10 to 13, 2026. The subscription price for shares will be determined on November 5.
Employees can subscribe to shares through leveraged and guaranteed options, providing investment protection during the shares' non-tradability period. Crédit Agricole CIB will oversee necessary hedging activities to support the offering.
