Carlsberg Acquires Britvic: Scheme of Arrangement Finalized

Carlsberg UK Holdings Limited, a division of Carlsberg A/S, has successfully acquired Britvic PLC through a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006. The acquisition, initially announced on 8 July 2024, involves purchasing Britvic's entire issued share capital.
Following regulatory approvals on 17 December 2024, the Court sanctioned the Scheme on 15 January 2025. As of 16 January 2025, the acquisition has become effective. Consequently, Britvic's shares are currently held entirely by Carlsberg.
Shareholders will receive 1,315 pence per Britvic share, including a special dividend scheduled by 30 January 2025. Trading suspension of Britvic shares on the London Stock Exchange will ensue, with full listing cancellation set for 20 January 2025.
