Change of Control Triggers Early Redemption Option for Neoen Bonds
Neoen SA has announced a Put Event Notice for its green convertible bonds (OCEANEs) maturing in 2025, due to a Change of Control. This follows Brookfield Renewable Holdings SAS acquiring a 53.12% stake in the company on 27 December 2024. Bondholders can exercise an early redemption option.
The exercise period for the Put Event Option starts on 24 January 2025 and ends on 28 February 2025. Bondholders must transfer their bonds to the Centralising Agent, accompanied by a completed Put Option Notice, by the deadline to qualify for early redemption.
The Optional Redemption Date is set for 7 March 2025. The redemption price is €46.44115 per bond, including par value and accrued interest. As of now, bonds worth €169.999.968,60 remain outstanding.
