Core Critical Metals Corp. Gains Shareholder Approval for Strategic Spin-Off

Core Critical Metals Corp. (CCMC) has announced unanimous shareholder approval for its statutory plan of arrangement. This arrangement involves spinning out the Senneville Project to Spinco1 and the Timmins Nickel Project to Spinco2. The approval occurred at the shareholder meeting on September 28, 2026.

Following this approval, CCMC plans to seek a final order from the Supreme Court of British Columbia on October 5, 2026. If approved, the share distribution is expected to happen by October 8, 2026, with the arrangement taking effect on October 9, 2026.

Shareholders will gain new Class A shares, as well as shares in Spinco1 and Spinco2. The distribution of shares through brokers will occur automatically, while registered shareholders need to follow instructions via a letter of transmittal.

The proposed dates are tentative and subject to change based on the completion of arrangement conditions. CCMC promises to update stakeholders as necessary.
