Core Silver and Arcus Finalize Business Combination Agreement
Core Silver Corp. and Arcus Development Group Inc. have signed a definitive agreement for a business combination. Under the terms, Core Silver will acquire all outstanding shares of Arcus on a 1:1 basis. The transaction is designed to enhance both companies' exploration capacities, particularly in district-scale opportunities like the Tintina Gold Belt.
Nicholas Rodway, CEO of Core Silver, believes this acquisition will create a more robust exploration company, strategically positioned for new discoveries. Interim CEO of Arcus, Darryl Jones, highlights the benefits for Arcus shareholders, including continued exposure to their Touleary Property.
The agreement requires approval from Arcus shareholders, with a meeting scheduled for August 25, 2026. Post-transaction, Core Silver will control approximately 60.8% of the combined entity. The deal is expected to close by the fourth quarter of 2026, pending necessary approvals.
