Deutsche Bank to Issue Additional Tier 1 Capital Instruments

Deutsche Bank AG has announced its plan to issue Additional Tier 1 (AT1) capital instruments. The securities are scheduled to have a first call date of October 30, 2035, and are expected to be of benchmark size. This issuance is designed to bolster Deutsche Bank's Tier 1 leverage ratio and its overall capital solvency ratios.

The issuance will proceed under the authorization granted during the Annual General Meeting of 2025, which excludes shareholders' pre-emptive rights. Each security will be denominated at €200,000. Deutsche Bank AG will serve as the sole bookrunner for this placement.

The securities have not been registered under the U.S. Securities Act of 1933 and will be issued in accordance with "Regulation S" of the Act, restricting offers and sales within the United States unless registered or exempt.
