Digi Power X Clarifies US Data Centers Transaction

Digi Power X Inc. has clarified details regarding its subsidiary, US Data Centers, Inc. (USDC) to assure stakeholders of the separation between the two entities. USDC, which manufactures and distributes the ARMS modular AI data center system, will not share in the revenues of Digi Power X's data centers. Digi Power X holds a 55% ownership in USDC, while the management team and institutional investors own the remainder.

USDC focuses on manufacturing and does not own or operate data center sites. Digi Power X confirms that all revenues from its sites, including ARMS pods deployed, belong exclusively to Digi Power X. The creation of USDC as a separate entity is seen as a strategic expansion into a new market without impacting Digi Power X's existing revenue streams.

Digi Power X retains its core mission of developing and operating data centers, ensuring that all assets, including GPUs and technology, remain solely owned by the company. The formation of USDC allows for dedicated capital raising and enhanced enterprise contracting capabilities.
