FAYENC.SARREGUEMINES: signing of a major contribution agreement
On May 22, 2025, FAYENCERIES DE SARREGUEMINES, DIGON & VITRY LE FRANCOIS (FSDV), listed on Euronext Paris, formalized the signing of a contribution agreement with Louis and Nicolas RAME. This agreement covers the contribution of 179,998 shares of OPUPELUS, representing 89.999% of its capital.
The transaction aims to redeploy FSDV's activities and list the BMG Group, controlled by OPUPELUS, on Euronext. Estimated at €250 million, the transaction is based on BMG's equity as of December 31, 2024. Upon completion, FSDV will issue 14,285,668 new shares, valuing FSDV's capital at approximately €221.4 million.
Following the transaction, contributors Louis and Nicolas RAME will each hold 49.48% of FSDV's capital. Final conditions include approval by FSDV's general meeting.
