Usha Resources Ltd. Announces Share Acquisition Completion

Vancouver-based Usha Resources Ltd. reported on January 22, 2026, the completion of its qualifying transaction with Totec Resources Ltd., 1540359 B.C. Ltd. ("Subco"), and certain Subco shareholders. The transaction, finalized on January 19, 2026, involved the sale of Usha and the investors' interests in Subco to Totec. This was facilitated via a share purchase agreement first dated October 22, 2025, and amended on December 10, 2025.

Totec compensated with 35,500,000 of its common shares and $50,000 in cash, allocating 5,500,000 shares to Usha and 30,000,000 to the investors. Following the transaction, Usha controls 5,500,000 Totec shares, equivalent to 14.3% on a non-diluted basis. Usha's future transactions depend on market conditions and plans.
