Galway Metals Launches $14 Million Private Placement Led by Michael Gentile
Galway Metals Inc., a Canadian exploration company, has announced a private placement deal with Beacon Securities for the issuance of up to 19,437,000 flow-through units at $0.72 each. This transaction aims to raise gross proceeds of approximately $14 million. The strategic investor Michael Gentile, significant in Canadian resource investment, leads this initiative.
Each flow-through unit comprises a common share and a purchase warrant. The warrants allow purchase of additional non-flow-through shares at $0.80 for 36 months post-closing. Gentile commits to a 12-month lock-up on his investment, subscribing for 17,150,000 units. Post-transaction, he is expected to control 11.04% of Galway's shares, rising to 19.9% upon warrant exercise.
The proceeds will be directed towards Canadian exploration expenses related to Galway’s Clarence Stream project. The offering anticipates a closing on October 14, 2026, subject to TSX Venture Exchange approval. The securities are not registered under the U.S. Securities Act and are not offered in the U.S.
