HLEE Announces CHF 300 Million Capital Increase
Highlight Event and Entertainment AG (HLEE) has announced plans for a capital increase, with a new investor, CSL Mindset Ltd., set to acquire a majority stake through an equity investment of CHF 300 million. This investment will result in the issuance of 25 million shares at an issue price of CHF 12.00 per share. HLEE's major shareholders, including Bernhard Burgener and Victorinox AG, have agreed to support the capital increase, waiving their subscription rights.
The capital increase aims to bolster HLEE's balance sheet, enhance equity, reduce liabilities, and optimize group structure. Following this transaction, CSL Mindset Ltd. is anticipated to hold a 62% to 67% share in HLEE, contingent on the rights offering take-up. The transaction requires regulatory and corporate approvals, including a Relationship Agreement mandating a public tender offer by CSL Mindset Ltd. to acquire all listed securities of HLEE by June 2030.
