Infoclip announces a proposed change of control
On April 13, 2026, Infoclip announced a proposed change of control involving the sale of 93.94% of its share capital. Laurent Azoulay and Éric Melki, founders of Infoclip, agreed to transfer their stake to RIVAGE GROUPE, a holding company newly created by Adrien Bonnet and Édouard Rousseau. The sale price is €22.14 per share. The transaction, which will be carried out through a sale and contribution of shares, remains subject to certain conditions precedent.
The founders will continue to hold executive positions within Infoclip post-transaction. RIVAGE GROUPE expects to exceed the 90% ownership threshold and plans to launch a tender offer. The group aims to strengthen its position in IT outsourcing and cybersecurity in France.
