Beech Tree Gains Exemption from Public Tender Offer for Ipsen
On April 3, 2026, Ipsen disclosed that Beech Tree, which holds a significant stake in the company, has been granted an exemption by the French Financial Markets Authority from submitting a public tender offer for Ipsen shares. This move coincides with the transfer of Mr. Henri Beaufour's stake in Beech Tree to the Alasol Foundation.
The transfer accompanies a governance agreement, ensuring the Alasol Foundation's commitment to retain its shares for 15 years and abstain from intervening in Beech Tree's management. Altawin's veto rights within Beech Tree are also recognized. Furthermore, Beech Tree will manage its interests aligning with Mr. Beaufour's strategic direction, with the Alasol Foundation playing a coordination role prior to shareholder meetings.
