Mersen: Departure Terms for CEO Luc Themelin

On May 12, 2026, Mersen announced the departure terms for its retiring CEO, Luc Themelin. His fixed compensation for 2026 will be prorated, resulting in a maximum of €180,822 for his service from January 1 to May 12. Variable compensation for 2026 is based on performance, with financial criteria forming 70% of the total, potentially reaching 120% of the fixed amount if objectives are exceeded. This sum will be determined in 2027.

Themelin received bonus shares under plans from 2023 to 2025, subject to performance conditions. No shares were granted in 2026. Themelin will not receive any exceptional compensation, severance payment, or non-compete indemnity. He is entitled to a defined-benefit pension plan, amounting to €175,000 annually.
