North Peak Secures Extension on Warrant Expiry Dates
North Peak Resources Ltd. announced that the TSX Venture Exchange has approved an extension of the expiry dates for its outstanding warrants. Originally set to expire in October 2026, the new dates extend to January 2027. Specifically, 4,307,498 warrants will now expire on January 17, 2027, and 208,333 warrants on January 24, 2027. These warrants were issued during a private equity placement in April 2025.
All other terms of the warrants, including an exercise price of $0.90 per share, remain unchanged. Of note, 390,000 of these extended warrants are held by related parties, which classifies the extension as a related party transaction. North Peak asserts the transaction does not exceed 25% of its market capitalization, allowing it to sidestep formal shareholder approvals.
A material change report will be filed, albeit under a shortened timeline, as the extension approvals were only recently confirmed. North Peak argues this timeline is necessary under current circumstances.
