Photon Energy N.V. Terminates Bondholders’ Vote Without Meeting

Photon Energy N.V. has announced the termination of a planned vote among holders of its EUR 78.77 million 6.50% Green Bonds 2021/2027. This decision, effective from 1 September 2026, follows feedback from bondholders who submitted countermotions and additional resolution requests, available on the company's website.

The vote, initiated on 30 July 2026, was concluded unlikely to gain sufficient support as proposed. Procedural objections from one bondholder also necessitated further analysis to ensure compliance with the terms of the Bonds and the German Bond Act.

Photon Energy is now reviewing all responses and will consider adjustments to resolutions or procedures. Bondholders will be informed promptly of any revised agenda or voting procedures.
