Port of Hamburg Sets Cash Compensation for HHLA Minority Shareholders

The Port of Hamburg Beteiligungsgesellschaft SE has established a cash compensation of €21.16 for minority shareholders of Hamburger Hafen und Logistik AG (HHLA). This decision concerns the squeeze-out under German stock corporation law, which requires the transfer of class A shares held by minority shareholders to the majority shareholder, PoH.

PoH, owned by the Free and Hanseatic City of Hamburg and the MSC Group, holds over 95% of HHLA shares. The compensation was calculated based on statutory guidelines and case law, considering the average share price over the three months before the squeeze-out announcement. An independent valuation confirmed the compensation's adequacy, which a court-appointed auditor further reviewed.

The process will be effective after approval at HHLA's Annual General Meeting scheduled for 11 June 2026 and subsequent entry in the Commercial Register.
