Rexel Successfully Raises €500 Million for Strategic GCG Acquisition

Rexel has achieved a capital increase of approximately €500 million through an accelerated bookbuilding process, issuing 14,388,490 new shares, equating to around 4.6% of the pre-issue share capital. Priced at €34.75 per share, this offering was conducted without shareholders' preferential subscription rights.

The proceeds will partially finance the acquisition of GCG, maintaining Rexel's strategic leverage while preserving its credit rating with a target net financial debt/EBITDAaL ratio of approximately 2.0x from 2027. The strategy includes a mix of cash and debt alongside the equity raised.

BofA Securities, BNP Paribas, and Crédit Agricole CIB acted as coordinators in this endeavor, reflecting Rexel's commitment to expanding its growth opportunities and reinforcing its market position.
