Reyna Silver Finalizes Acquisition by Torex Gold

Reyna Silver Corp. has completed its acquisition by Torex Gold Resources Inc. in a transaction approved by both its securityholders and the Supreme Court of British Columbia. Under this arrangement, Torex acquired all outstanding shares of Reyna Silver. Shareholders received cash compensation of CAD 0.13 per share. Options, restricted share units, and warrants related to the company were vested, transferred, and canceled for cash payments.

The shares of Reyna Silver are scheduled to be delisted from the TSX Venture Exchange and OTCQB at the close of August 21, 2025. Following this, the company plans to apply to cease being a reporting issuer and end its public reporting obligations. Details are available in the management information circular from July 9, 2025.
