Schneider Electric Initiates €6 Billion Capital Increase for PTC Inc. Acquisition
Schneider Electric has announced a significant capital increase of approximately €6.0 billion to finance the acquisition of PTC Inc. This capital increase will occur without shareholders' preferential subscription rights. New ordinary shares will be placed via an accelerated bookbuilding process aimed at qualified investors. The proceeds will partially fund the PTC acquisition, alongside debt raises and committed bridge facilities.
The acquisition, announced on October 5, 2026, is expected to complete by Q3 2027, pending regulatory approvals. Settlement for the new shares is anticipated on October 22, 2026. Schneider Electric has agreed to a lock-up period of 90 days following settlement, with certain exceptions.
Morgan Stanley, Société Générale, and BNP Paribas are acting as Joint Global Coordinators. The capital increase is part of Schneider's strategy to enhance its industrial portfolio by integrating PTC's expertise in industrial design and data management.
