Finalization of Merger Between Colonial and Société Foncière Lyonnaise
Colonial and Société Foncière Lyonnaise (SFL) are set to finalize their cross-border merger on October 1, 2025. The merger was approved by both companies' general meetings and awaits the legal review by the Madrid Commercial Registry. This merger will result in the universal transfer of SFL's assets to Colonial, leading to SFL’s dissolution without liquidation. The new entity will be known as Colonial SFL.
SFL shareholders will receive 13 Colonial ordinary shares for each SFL share. This will allow them to become shareholders of Colonial, which is listed in Madrid and Barcelona, providing increased liquidity. Shareholders who opposed the merger can have their shares repurchased at €74.65 each.
The merger aims to form a pan-European leader in prime office real estate, simplifying the group's structure and enhancing its market position in France and Spain.
