SoftwareOne Extends Offer Period for Crayon Acquisition
SoftwareOne Holding AG, a global software and cloud solutions provider, has announced a final extension of its offer period for the acquisition of Crayon until May 6, 2025. The company has received acceptances surpassing 80% of Crayon's share capital, which led to the waiver of the initial 90% acceptance threshold. This move demonstrates confidence in completing the transaction, as noted by Raphael Erb, CEO of SoftwareOne.
The offer consists of a mix of cash and shares, priced at NOK 69 in cash and 0.8233 newly issued shares of SoftwareOne per Crayon share. Regulatory approvals have been acquired in several jurisdictions including Germany, Austria, and the UK.
The extended offer aims to build on complementary capabilities, promoting potential growth for both companies, as highlighted by Melissa Mulholland, CEO of Crayon. The merger is expected to complete by June 2025, following required regulatory approvals.
