SoftwareOne's Extended Offer for Crayon Concludes Today
SoftwareOne Holding AG announces the conclusion of its extended voluntary share and cash offer for Crayon, set to expire today, 29 April 2025, at 16:30 CEST. This offer, initially launched on 14 March 2025, aims at acquiring all outstanding shares of Crayon.
The offer includes NOK 69 in cash and 0.8233 new SoftwareOne shares per Crayon share. An extension of the offer period was reported on 11 April 2025. The process follows a prospectus available on Pareto Securities' website, outlining the complete terms, conditions, and acceptance procedures.
Completion of the transaction is anticipated by June 2025, pending necessary regulatory approvals. Financial advice is provided by Jefferies, with legal support from Walder Wyss. Pareto Securities functions as the Nordic advisor for this significant acquisition endeavor.
