SoftwareOne's Share Offer for Crayon Sees Strong Initial Acceptance

SoftwareOne Holding AG announced a robust reception for its voluntary share and cash offer to acquire Crayon, controlling 66.2% of Crayon's shares by the end of the initial acceptance period. Major Crayon shareholders, including its largest, Folketrygdfondet, support the deal. The offer, initially set to close on 11 April 2025, has been extended to 29 April 2025 to align with standard Norwegian tender practices.

SoftwareOne’s offer includes NOK 69 in cash and 0.8233 of its newly issued shares per Crayon share. Acceptance for 59.2% of outstanding Crayon shares was confirmed by 11 April 2025. The transaction aims to enhance the global presence of both companies with enhanced offerings to customers and vendors.
