The purchase includes the notes CH0005575151, GB0040901711, and XS0000001247. This offer is subject to English law and invites holders to tender their securities voluntarily for cash purchase.

The offeror aims to reduce custody costs and potentially allow some holders to use the final price as a write-off for valuation purposes. No maximum acceptance amount is set, indicating a willingness to purchase the entire outstanding amount. The offer commenced on January 21, 2026, and expires on February 21, 2026.

Acceptance requires completing a Form of Acceptance, with settlement expected as soon as possible upon confirmation. Southey Capital reserves the right to adjust the terms at their discretion. The process includes settlement eligibility with Euroclear.
