Strategic merger between Watera SA and Watera International
On June 30, 2026, Watera SA, a specialist in solar desalination, signed an agreement to absorb its Luxembourg subsidiary, Watera International. This merger aims to simplify the group's legal structure. Currently, both entities are controlled by Unibios Holdings SA, which entails significant administrative and regulatory constraints.
The transaction will reduce the number of legal entities and associated costs, while strengthening Watera SA's financial profile. This opens up opportunities to finance future external growth. Following the merger, Watera SA will issue new shares to Unibios Holdings SA, increasing its share capital.
This merger remains subject to standard conditions, with retroactive effect to January 1, 2026. An auditor will review the transaction to ensure its fairness. The general meetings of both companies still need to approve the plan.
