Verve Group's 2026 AGM Approves Key Relocation to Ireland

At its Annual General Meeting on June 5, 2026, in Stockholm, Verve Group SE approved several significant proposals, including the relocation of its registered office from Sweden to Ireland. The board of directors and auditor were re-elected, with the future auditor transition planned to Deloitte Ireland LLP upon relocation. Additionally, the AGM adopted the 2025 financial statements and approved the transfer of board and auditor fees. Importantly, authorizations were granted for the repurchase, transfer, and issuance of shares, contingent upon the relocation. The company's name change to Verve Group Media SE was also ratified.

CEO Remco Westermann emphasized the strategic advantage of aligning with Ireland's corporate framework, benefiting the company's integration into the international AdTech ecosystem. The relocation is intended to bolster Verve's international footprint, particularly in the US market, where the AdTech industry is heavily concentrated. The migration will involve administrative changes but maintain current shareholder ownership structures.
