MINUTES OF THE COMBINED GENERAL MEETING AND BOARD OF DIRECTORS

MEETING OF 13 MARCH 2025 

Paris, March 13, 2025 –Compagnie des Alpes held its Combined Annual General Meeting on Thursday 13 March at 2.30pm at the Théâtre Mogador, 25 rue de Mogador - 75009 Paris.

With shareholders physically present and those represented or voting by post, the Meeting reached a quorum of 78.24%.

imageAll of the 31 resolutions on the agenda were broadly approved, with the exception of the 28th, which, as proposed by the Board of Directors, was rejected insofar as other employee profit-sharing schemes exist within the Company. The results of the votes can be consulted on the Compagnie des Alpes website, in the General Meeting section.

The dividend proposed by the Board of Directors (€1.00 per share, an increase of 10% on the previous year) was approved and will be detached from the share on 21 March and paid on 25 March 2025.

Following the Annual General Meeting, the Board of Directors met to take note of the following matters:

•       The renewal of the term of office as Director of Mrs Gisèle ROSSAT-MIGNOD, Chairman of the Board of Directors,

•       The renewal of the term of office as Director of Mrs Carole MONTILLET,

•       The ratification of the co-opted appointments of Martine GEROW and Audrey GIRARD as Directors.

On the recommendation of the Nominations and Remuneration Committee, the Board of Directors also approved the renewal of the term of office of Dominique THILLAUD as Chief Executive Officer, for a period of 4 years expiring at the close of the Annual General Meeting called to approve the financial statements for the year ending 30 September 2028.

At the close of the Board meeting, Gisèle ROSSAT-MIGNOD said: “I am particularly honored that the shareholders and the Board of Directors have today renewed their confidence in me, and I am pleased and proud to be able, as Chairman of the Board, to contribute with the general management of Compagnie des Alpes to the definition and implementation of the strategic orientations, at a time when the economic and environmental challenges are particularly acute”.

Dominique THILLAUD also said: “The last four years have been exciting, and Compagnie des Alpes, thanks to its agility and ability to adapt, has not only coped with an adverse environment, but has also been able to grow, diversify and develop an ambitious roadmap for all of us that respects our stakeholders. 

The term of office that begins today heralds a new page, which I am sure will be just as rich and dedicated to performance. Compagnie des Alpes is a solid group, with excellent results and improved profitability, and is ready to take on new challenges”.
