Ad-Hoc announcement pursuant to Art. 53 Listing Rules:

EEII AG and Haute Capital Partners SA sign a joint non-binding declaration of intent

Zug, October 28, 2026

EEII AG (“EEII”; SIX Swiss Exchange: EEII) and Haute Capital Partners SA (“HCP”; BX Swiss: HAUTE) have signed a joint non-binding declaration of intent.

The contemplated transaction would, in principle, take the form of an asset sale (asset deal) to EEII of all or part of the equity interests held by HCP, or an economically equivalent transaction. Consideration would be paid through the issuance of new EEII shares. The transaction could be accompanied by an additional cash capital increase.

HCP would aim to distribute all or part of the EEII shares received to its shareholders. The final structure of the transaction would be agreed jointly and would be subject to approval by the competent corporate bodies of both companies, including prior approval by the general meeting of shareholders of Haute Capital Partners SA for both the transaction and the distribution.

Discussions are at a preliminary stage. The scope, valuations and terms of the transaction remain subject to negotiation. No definitive agreement has been entered into and there can be no assurance that any transaction will be completed. The parties will inform the market of any material developments.
