Eiffage enters into exclusive negotiations with Atlas Arteria for the possible acquisition of the Warnow Tunnel concession in Rostock, Germany

Eiffage is entering into exclusive negotiations with Atlas Arteria with a view to acquire, subject to due diligence and documentation, 100% of the capital of the Warnow Tunnel in Germany. The Warnow Tunnel is a 2km toll road located in Rostock, including a 0.8km tunnel under the Warnow River. It opened to traffic in September 2003. The concession contract runs until 2053.

Eiffage and Atlas Arteria have been exploring since 2024 several ways to broaden their existing 20-year-old relationship to Germany. Such discussions have contemplated, amongst other things, the possible pooling of their respective concession and PPP assets in Germany before pivoting at Atlas Arteria initiative towards an all-cash disposal to Eiffage.

Whilst there is no certainty that a transaction will proceed, the completion would be subject to various legal and regulatory approvals. It could be finalised in the second semester of 2026. The employees of the entities concerned will be informed under the conditions provided for by relevant law.
