Fresh Clinics Acquires Spakinect to Create Global Med Spa Infrastructure Leader

The acquisition, backed by existing investor Ellerston Capital, unites Fresh Clinics’ comprehensive support ecosystem with Spakinect’s industry-leading Good Faith Exam (GFE) engine and U.S. provider network. Operating as distinct brands under their founding leadership teams, the combined offering will provide independent aesthetic practices with end-to-end clinical infrastructure - spanning medical directorship, telehealth exams, clinical training, and product supply, amidst an increasingly complex regulatory landscape.

Defining Clinical Infrastructure for Independent Med Spas

Independent Med Spa owners carry real medical responsibility every day, yet historically have assembled their clinical operations out of unconnected parts - sourcing exams from one supplier, finding a medical director through personal contacts, and piecing together training without a clear clinical safety net. At the same time, shifting state-level legislation, including New Jersey S2996, Indiana SB 282 and Texas HB 3749, has created structural pressure for independent practices to strengthen their compliance and oversight.

Uncompromising Quality and Leadership Continuity

Both Fresh Clinics and Spakinect were founded by clinicians to address the exact same core challenge: supporting clinic owners carrying medical responsibility on their own. Fresh Clinics was founded in 2018 by Dr. John Holbrook and Dr. John Delaney, two hospital-trained doctors. Spakinect was founded in 2012 by Alain Gazaui and nurse entrepreneur Paulina Riedler, RN.

Both brands will continue to operate as separate, distinct businesses. Spakinect continues to operate under its own name, with Paulina Riedler and Alain Gazaui staying on to lead its team and operations. Members keep their current contacts and services, and Spakinect’s Nurse Practitioners remain directly employed as W-2 professionals. Spakinect’s integrations with leading software platforms, including Zenoti, Boulevard, and Aesthetic Record, remain in place. Over time, members will be able to access Fresh Clinics’ broader offering, including medical directorship, product supply and clinical training, as and when it suits their practice.
